ADDITIONAL TERMS

This agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, without giving effect to any principles of conflicts of law.  In the event that you or we file a lawsuit against one another, you agree that the lawsuit will take place in the federal or state courts located in Milwaukee County, Wisconsin, which shall have exclusive jurisdiction over any such lawsuits, and you agree to submit to the jurisdiction of those courts.  If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.  This agreement constitutes the entire agreement between you and us with respect to the subject matter of this agreement, and all prior agreements, representations, statements and undertakings are hereby expressly terminated.
